FELIPE Software Licence Agreement:
Individual/Group Licences
1. Software Licence Agreement
Bath University ( "the University"), agrees to grant, and the Customer agrees to accept on the following terms and conditions, a non-transferable and non-exclusive Licence to use the University software package entitled FELIPE ("the Licensed Software").
2. Terms of the Licence
This Agreement is effective from the date of receipt by the University of the applicable Licence fee and the completed Registration Form confirming the Customer's acceptance of the terms and conditions herein. The University may discontinue any Licence or terminate this Agreement upon written notice to the Customer if the Customer fails to comply with any of the terms and conditions of the Agreement. Subject to this condition, the Licence is for use of the Software by the Customer in perpetuity.
3. Individual/Group Licence
An Individual Licence authorises the Customer to use the Licensed Software in any machine readable form on a single computer. A Group Licence allows the Customer to install and use concurrently the software on the number of PC's specified in the Registration Form. Under Individual and Group licences the software may NOT be networked or installed on a central server.
The Customer may not sub-license, rent, lease, sell or re-sell or otherwise transfer any of the Software or printed materials in any way in whole or in part, either temporarily or permanently. In particular, the Customer may not put the software or manual into a library for borrowing, even within a college library.
The copyright and all other rights in the Licensed Software and documentation remains the property of the University.4. Copying or modifying the Licensed Software
Under an Individual Licence, a single copy of the User Manual will be supplied; under a Group Licence, the Customer will receive a number of copies of the Manual equal to the number of PC's licensed. The Customer shall NOT copy, in whole or in part, the User Manual or any other licensed documentation which is provided by University in printed form under this Agreement.
In addition to installing the licensed number of copies of the Software as described above, the Customer may store for back-up purposes, on diskette or other media, a reasonable number of copies of the self-extracting zip file provided on the original diskette. Each act of extracting the FELIPE Software from this file, will constitute installation of a further copy of the Software.
Except as permitted by law, the Customer may not decompile, translate, reverse engineer, create a derivative work or otherwise use or copy the Software or any part of it, unless permitted within this Agreement, or permit others to do so.
5. Protection and Security
The Customer agrees not to provide or otherwise make available any Licensed Software to any person other than his employees, students and/or agents without prior written consent from the University.
6. Termination
Within one month of the termination of the Licence under section 2, or for any other reason, the Customer will furnish the University with a letter verifying that through his best effort, and to the best of his knowledge, the original and copies, in whole or in part, in any form, including partial copies or modifications of the Licensed Software received or made in connection with such Licence have been destroyed.
7. Disclaimer of Warranty
The University makes no warranties with respect to the Licensed Software other than to guarantee the original diskette against faulty materials or workmanship for 90 days from the date the Licence was purchased, providing the said diskette is immediately backed up as allowed for above.
In particular, while the software has been written using the best efforts and knowledge of the authors, no warranty is given for the accuracy of results generated by the Software.8. Limitation of Liability
THE ABOVE MENTIONED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF SALEABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT WILL THE UNIVERSITY BE LIABLE FOR CONSEQUENTIAL DAMAGES EVEN IF THE UNIVERSITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. General
If any of the above provisions or portions thereof are invalid under any applicable Law or Act of Parliament, they are to that extent only deemed to be omitted.
10. The Governing Law
The Governing Law of this Agreement shall be that of England.
